You are the merchant
In short: Your customers buy from you. You own the sale, the product, the refund and the law that applies to them.
MERCHANT OF RECORD
You are the seller and merchant of record for everything you sell on Knect. Except for tickets (section 7), payments are charged on your own Stripe account; you set your prices, tax settings, tips, refund and cancellation policies; and Stripe bills its processing fees, refunds and disputes to your account. Knect provides software and collects its fee as an application fee. Knect does not pay refunds, disputes or Stripe fees on your sales.
STRIPE
You must connect a Stripe account, agree to Stripe's Connected Account Agreement (between you and Stripe), and keep it in good standing. Checkout is unavailable until it is. Knect is not responsible for Stripe's decisions, holds or reserves.
INDEPENDENT BUSINESS
You are independent of Knect. You, not Knect, employ, pay, supervise and are responsible for your staff, drivers, couriers and contractors, including wages, tips, taxes, insurance and workplace law. Knect does not control how you prepare, perform or deliver anything.
CHAINS
National and regional chains may advertise on Knect but may not sell through it unless Knect agrees in writing.
Food safety and allergens
In short: You alone are responsible for the food you make and the allergen information you give. Read every allergy note.
PERMITS AND CODES
You hold and maintain every license, permit, inspection and certification required to prepare, sell, serve and deliver food, including health department permits, mobile food facility and commissary permits, cottage food registrations, and food handler and manager certifications, and you comply with all food safety, health, labeling and sanitation laws.
ALLERGEN ACCURACY
Any allergen, ingredient, dietary, nutrition or spice information you enter is complete, accurate and kept current, and you update it whenever a recipe, supplier or preparation changes. If you cannot guarantee an item is free of an allergen (for example because of shared equipment), you must not say it is.
ALLERGY NOTES
Customers can add an allergy note to an order, which appears on your order screen, kitchen station and printed ticket. You must read and act on every allergy note, contact the customer if you cannot safely meet it, and refuse or cancel the order (with a full refund) if you cannot. Knect transmits notes as a convenience and is not responsible if one is missed, delayed or not followed.
HEALTH DATA
Allergy notes are consumer health data. Use them only to prepare that order safely, keep them confidential, and do not use them for marketing or any other purpose.
ALCOHOL AND RESTRICTED ITEMS
If you sell alcohol, tobacco, cannabis-derived or other age-restricted items where Knect allows it, you hold every required license, verify age and identity at handover, refuse sale to anyone underage or intoxicated, and comply with all laws on delivery and pickup of those items. Knect is not a licensee and does not sell or deliver those items.
INCIDENTS
Tell Knect promptly of any foodborne illness complaint, allergic reaction or recall involving an order placed through Knect, and cooperate with any investigation.
Listings, prices and fulfillment
ACCURACY
Your listings, menus, photos, prices, fees, hours, availability, service areas, wait times, descriptions, policies and business information are accurate, not misleading, and kept current, and you have the rights to every photo and description you use. Prices include or disclose every mandatory fee, as junk-fee and price-transparency laws require.
HONOR WHAT YOU ACCEPT
You fulfill every order, booking, reservation and ticket you accept, at the price shown, on time and as described. If you cannot, you cancel promptly and refund the customer in full.
DELIVERY AND SHIPPING
If you deliver or ship, you are responsible for delivery, couriers, packaging, shipping, loss and damage in transit, and returns, and for complying with consumer protection rules on shipping times.
CONNECTED SERVICES
If you connect a reservation system, shipping, delivery or print-on-demand provider, online store or point-of-sale system, you authorize Knect to exchange the order and customer information it needs; that provider's terms govern your relationship with it; you are responsible for its fees, which it bills to you; and Knect is not responsible for its errors or availability.
REVIEWS
You may not post, buy, incentivize or suppress reviews, or review competitors, in violation of the Terms or the FTC's rule on consumer reviews and testimonials.
Bookings, reservations, guest lists and no-shows
YOUR POLICIES
You set and are responsible for your deposits, cancellation windows, and cancellation and no-show fees, which must be clearly shown before a customer books, reasonable, and lawful where you operate. You charge them only as the policy the customer accepted allows.
GUEST LISTS
If you run a guest list, you manage it fairly, notify guests promptly, and do not use it to discriminate.
NON-DISCRIMINATION AND ACCESSIBILITY
You do not refuse, limit or condition service on the basis of any characteristic protected by law, and you comply with accessibility laws, including the Americans with Disabilities Act.
Refunds and disputes
You handle refunds and customer complaints under the policy you showed the customer and the law. Refunds and chargebacks on your sales are debited from your Stripe account. If Knect refunds a customer for something you failed to provide or that was materially not as described, or bears any loss on a sale of yours, you will reimburse Knect, and Knect may recover the amount from any amount it owes you or invoice you. Knect may issue refunds on your behalf where a sale was fraudulent, where you are unresponsive for 48 hours to a customer complaint about a failed order, or where the law or a payment partner requires it.
Fees and taxes
FEES
Knect's fees are shown in your dashboard and settings before they apply, and may change on at least 30 days' notice. Fees on a refunded sale are not returned unless your dashboard says otherwise.
TAXES
You are responsible for determining, collecting, reporting and paying all taxes on your sales, including sales, use, meals, beverage and local taxes, and Knect has no default tax rate. Where Knect or an app store is required by law to collect and remit tax as a marketplace facilitator, you authorize it to do so and will not collect the same tax again.
Event organizers and tickets
In short: Knect holds ticket money until your event happens, then pays you. You run the event and own what happens there.
PAYMENT COLLECTION
You appoint Knect as your limited agent to collect ticket payments from buyers on your behalf (section 5.2 of the Terms). Knect pays ticket proceeds, less its fees and any refunds, to your connected account after the event ends (currently about 3 days after), and may hold them longer if there are complaints, disputes, or signs the event did not happen as advertised.
YOUR EVENT
You are solely responsible for your event, including the venue, permits, capacity limits, security, insurance, alcohol service, accessibility, health and safety, performers, content, and compliance with all law. You will carry commercial general liability insurance appropriate to your event and name Knect as an additional insured on request.
CANCELLATIONS
If you cancel an event, you must notify Knect and ticket holders promptly, and ticket holders are entitled to a full refund of the ticket price. Knect may refund from proceeds it still holds, and you will reimburse Knect for refunds it pays beyond what it holds. Postponements and material changes must be communicated promptly, with refunds as your stated policy and the law require.
RECORDING AND ATTENDEE CONSENT
If you photograph, film or livestream your event, you post clear notice at the venue and on the event page, and you obtain any additional releases needed for individual features.
ATTENDEE DATA
Use attendee information only to run your event and communicate about it, and as the law allows.
Unclaimed listings and claiming your business
UNCLAIMED LISTINGS
Knect may create a basic listing for a business that has not joined, using public information and the business's own public website and photos, so people can find it. An unclaimed listing does not take orders. If you own the business, you may claim it, correct it, or ask us to remove it by emailing us from an address we can verify.
CLAIMING
To claim a listing, you must use the one-time link we sent or verify your authority to act for the business. By claiming, you confirm you are the owner or are authorized by the owner, you accept these Seller Terms for the business, and you take responsibility for the listing's accuracy from then on, including photos and information we added, which you should review and correct. A false claim is a serious violation of the Terms and may be fraud.
DISPUTED OWNERSHIP
If more than one person claims a business, Knect may suspend the listing, ask for proof, and decide in its discretion, and is not liable for any decision made in good faith.
Customer information
Knect gives you customer information (names, contact details you need for an order, order and visit history, guest list entries, allergy notes, form answers, and segments) so you can serve your customers. You are an independent controller of that information. You will use it only to fulfill and support your customers' orders, bookings and tickets and, where they have not opted out, to market to them through Knect's tools and as the law allows; keep it secure and confidential; never sell it, share it with data brokers or use it to discriminate; honor customers' privacy requests that apply to you; and delete it when you no longer need it or the law requires. Private notes you write about customers must be professional and must not include sensitive information (such as health conditions) beyond what you need to serve them safely.
Staff, kiosks and accounts
You are responsible for everyone you give access to your business account, station, kiosk or dashboard, for removing access promptly when someone leaves, and for everything done through those accounts.
Indemnity, suspension and survival
In addition to section 30 of the Terms, you will defend, indemnify and hold harmless the Knect Parties from any claim, loss or expense (including reasonable attorneys' fees) arising from your products, food, services, events, venues, staff, couriers, listings, prices, taxes, refunds, allergen information, alcohol sales, permits, use of customer information, or violation of law or these terms, including claims for personal injury, illness or property damage. Knect may suspend your listings, checkout or payouts, or terminate your account, as the Terms allow, including immediately for food safety, fraud or safety concerns. Sections 1, 2, 5, 6, 7 (as to refunds and reimbursement), 9 and 11 survive.
KNECT DOES NOT GUARANTEE ANY VOLUME OF ORDERS, BOOKINGS, TICKET SALES, CUSTOMERS OR REVENUE, AND IS NOT LIABLE FOR ANY LOSS OF BUSINESS FROM DOWNTIME, ERRORS, DELAYED OR MISSED ORDERS OR NOTIFICATIONS, OR THIRD-PARTY SERVICE FAILURES, TO THE FULLEST EXTENT PERMITTED BY LAW.
