The extra terms for publishing, selling and earning on Knect.

These Creator Terms apply when you run a channel, publish films, shows, music, podcasts or other works, go live, sell or rent content, offer memberships, accept tips or sponsorships, or earn ad revenue on Knect. They are part of the Terms of Service, including its arbitration agreement, disclaimers and limits on liability. Capitalized words not defined here have the meaning in the Terms.

Your channel

In short: You are an independent creator, not Knect's employee. You run your channel and you are responsible for it.

INDEPENDENT

You are an independent contractor and business. Nothing in these terms makes you an employee, partner, joint venturer or agent of Knect, and you are not entitled to wages, benefits, workers' compensation or reimbursement from Knect. You control when, whether and what you create, and how you run your channel, subject to the Terms.

WHO YOU ARE

Your channel information must be accurate. If you run a channel for a group, label or company, you confirm you have authority to bind it. Knect may verify your identity and may require you to keep a connected payout account in good standing.

INVITATIONS AND ELIGIBILITY

Some creator features are by invitation or application, and Knect decides in its sole discretion whom to admit, feature or monetize. Admission once does not guarantee it later.

Rights, clearances and your promises

In short: Everything you publish must be cleared: music, footage, people, brands. If it is not, you pay for the fallout.

In addition to your promises in section 8 of the Terms, you represent, warrant and agree that:

FULL CHAIN OF TITLE

You own or control every right needed to publish, distribute, stream, sell, rent and monetize each work on Knect in the United States, on every surface Knect offers (web, apps, Roku and future platforms), including all copyrights, the master recording and composition for any music (with synchronization, mechanical and public performance rights where needed), footage, artwork, scripts, trademarks, and the rights of performers, guests, crew, writers, producers, labels and publishers.

PEOPLE AND RELEASES

You hold signed releases from every identifiable person in your works, including appearance, name, likeness and voice releases, and location releases where needed, and a parent's or guardian's written consent for anyone under 18. You will provide copies within 5 business days of Knect's request.

PAYMENTS YOU OWE

You are solely responsible for paying everyone you owe in connection with your works, including royalties, residuals, union or guild obligations, collaborator splits and license fees. Knect pays nothing to anyone on your behalf, except that Knect may report plays to, or pay, performing rights or sound recording organizations where the law requires, and deduct that cost from your earnings.

CONTENT RULES

Your works follow the Terms, the Community Guidelines, and accurate content ratings and warnings. Paid partnerships and gifted products are disclosed using Knect's tools and the FTC Endorsement Guides.

LIVE

When you go live, you are responsible in real time for everyone and everything in your stream, including guests and background music.

What Knect may do with your works

Your works are Your Content, licensed to Knect under section 7 of the Terms. In addition, Knect may: include your public works in Knect TV rows, guides, linear and live stations, playlists, Frequency, the magazine and recommendations; schedule and air them on Roku and other TV platforms; make trailers, clips, previews, thumbnails, key art and highlights; place advertising and sponsorships before, during, after and around free works; offer your priced works for sale or rent through app stores and Roku Pay at the price you set; and use your channel name, logo, likeness and biography to promote your works and Knect. Knect is not required to feature, air, recommend or promote any work.

Monetization

In short: Ways to earn are a privilege, not a right. Knect sets the rules, the eligibility bar and its share, and can change them with notice.

ELIGIBILITY

Paid content, memberships, tips, sponsorships and ad revenue share are available only to channels Knect approves, which must meet the eligibility requirements shown in your dashboard. Knect sets and may change those requirements, and decides, in its sole discretion, what counts as a qualifying view, play, follower, impression or sale, and whether activity is genuine.

PRICING

You set one price for each priced work, which applies on the web, in the apps and on Roku. Knect may set minimum prices and price steps required by app stores or Roku.

KNECT'S SHARE AND FEES

Knect's share and fees for each kind of earning (sales and rentals, memberships, tips, sponsorships and ad revenue share) are shown in your dashboard and before you publish or accept, and may change on at least 30 days' notice (changes do not apply to sales made before they take effect). Currently one split applies to films, records, rentals, memberships and tips, wherever the fan pays: an allowance equal to the highest app store fee (30% of the price) is set aside, then Knect's platform fee of 10% of the price plus 30 cents, and you receive the rest. On a sponsorship, Knect keeps a finder's fee of 20% of the deal, whether the sponsor takes a listed tier or you agree to an offer outside your tiers.

AD REVENUE SHARE

If your channel qualifies, Knect pays you a share of net ad revenue Knect actually receives and attributes to your works, at the rate and under the method Knect publishes, calculated from Knect's own measurement, which is final. Ad revenue share is discretionary: Knect may adjust, suspend or end it on notice, and you have no right to any particular amount of ads or revenue.

SPONSORSHIPS

Businesses may request to sponsor your works through Culture Partners, or make you an offer outside your listed tiers. You have 48 hours to accept or decline a tier request, after which it lapses; an offer lapses after 7 days without an answer. Pitches, pictures and reels you post must be yours to share and must describe the work honestly. You may not take payment outside Knect for a placement arranged through Knect, and you must honor accepted sponsorships and any offer shown with them.

INVALID ACTIVITY

No earnings are owed on refunded, charged-back, disputed, fraudulent, artificial or invalid activity (including views, plays or clicks from bots, incentives, click farms, your own accounts or coordinated schemes). Knect may withhold, reverse or offset such earnings, and may demonetize or terminate channels that generate them.

How you are paid

In short: Most sales go straight to your own Stripe account. Store sales and ad share are paid by Knect, later. Knect can hold money when there is risk.

YOUR STRIPE ACCOUNT

To earn you must connect and keep in good standing a Stripe account and agree to Stripe's Connected Account Agreement, which is between you and Stripe. On most web and app sales you are the merchant of record: the charge is made on your Stripe account, Stripe bills its processing fees to you, and Knect receives its fee as an application fee. Knect never holds your bank details.

PAYMENTS KNECT MAKES

Sales made through Roku or app stores are paid to you by Knect quarterly (on or about January 1, April 1, July 1 and October 1) for store months for which the store has paid Knect. Ad revenue share is calculated monthly and paid once your balance reaches the minimum shown in your dashboard. Sponsorship proceeds are paid in your next payout after the sponsorship runs. Unpaid balances below the minimum carry over.

HOLDS AND RESERVES

Knect may delay, hold or set aside a reserve from amounts Knect pays you, and may ask Stripe to do the same, for as long as reasonably needed, if Knect reasonably suspects fraud, invalid activity, a rights claim, a violation of the Terms, elevated refunds or chargebacks, or legal or regulatory risk, or if your account is suspended or terminated.

REFUNDS AND CHARGEBACKS

You are responsible for refunds, chargebacks, disputes and related fees on your sales. Where Knect paid you for a sale that is later refunded or reversed, or covered a loss on your account, Knect may recover the amount by offsetting it against future earnings, by debiting your Stripe account where Stripe allows, or by invoicing you, and you will pay invoices within 30 days.

MISTAKES

If Knect overpays you, it may recover the overpayment from later payouts. Tell us of any payout error within 90 days of the payout, or the payout is final.

UNCLAIMED EARNINGS

If we cannot pay you because you have not connected or maintained a payout account, we will hold earnings Knect owes you and, if they stay unclaimed, handle them as state unclaimed property law requires.

Taxes

You are solely responsible for all taxes on your earnings and for any sales, use or similar taxes you are required to collect on your sales, except where Knect or an app store is required by law to collect them as a marketplace facilitator. You will provide the tax information Stripe or Knect requests (such as a Form W-9). Stripe may issue Form 1099-K or other information returns for payments processed on your Stripe account, and Knect may issue Form 1099-NEC or 1099-MISC for amounts Knect pays you directly, through Stripe or otherwise. Knect may withhold taxes where the law requires.

Your fans

You may use information Knect shows you about fans and supporters (names, emails fans chose to share, messages, purchases and fan book entries) only to communicate with them through Knect's tools or as the fan permitted, and in line with law, including CAN-SPAM and state privacy laws. You may not sell it, export it in bulk except as Knect's tools allow, or use it to build profiles. When you import or invite people by email, you confirm each person agreed to hear from you.

Ending, removal and survival

You may unpublish works or close your channel at any time; sales already made remain licensed to buyers as section 13 of the Terms describes, and Knect may keep offering purchased works to existing buyers for at least 30 days, or longer if a rental or membership period runs longer. Knect may unpublish works, demonetize, or suspend or terminate your channel as the Terms allow. Earnings properly accrued before termination for reasons other than your violation of the Terms will be paid on the normal schedule, less amounts Knect may offset. Sections 2, 5 (as to amounts owed and recovery), 6, 7 and 8 survive.

KNECT DOES NOT GUARANTEE ANY LEVEL OF VIEWS, AUDIENCE, PROMOTION, SALES OR EARNINGS. SECTIONS 28 TO 32 OF THE TERMS OF SERVICE (DISCLAIMERS, LIMITATION OF LIABILITY, INDEMNITY, RELEASE AND ARBITRATION) APPLY TO THESE CREATOR TERMS. FOR CREATOR DISPUTES, ARBITRATION IS UNDER THE AAA COMMERCIAL ARBITRATION RULES.
